Job Description:

The Global Legal Manager supports the deployment of Pluxee’s legal standards, policies, templates, and governance practices across countries and global functions. The role contributes to legal consistency across jurisdictions while ensuring that legal guidance remains practical and adapted to local business realities.
The role supports cross-border projects, global contracts, legal risk monitoring, legal process improvement, and coordination between Group Legal, country legal teams, external counsel, and key business stakeholders.
The role contributes to protecting Pluxee’s interests across its client, consumer, merchant, partner, supplier, employee, digital platform, and regulated services ecosystem.

As Pluxee continues to strengthen its legal organization following its spin-off and listing on Euronext Paris, we

are looking for a highly motivated and versatile Legal Counsel to join the Group Legal Department.

Reporting to the Head of Corporate & Securities Legal Department and working in close collaboration with the

Head of Treasury, Finance and Payment Legal Department, you will support a broad range of corporate,

securities, financing, treasury and payment-related matters throughout the Group, partnering with Finance,

Investor Relations, Treasury, Compliance, Product, Technology and Operations teams.

This position offers a unique opportunity to work at the crossroads of corporate governance, listed-company

obligations, financing transactions and payment services regulation. You will contribute to securing existing

and future business models, supporting business teams in their projects and strengthening the management

of legal and regulatory risks in an international, innovative, fast-moving and highly regulated environment.

Main responsibilities will include:

Corporate and Securities matters

· Assist in the management of the legal affairs and corporate governance matters of Pluxee N.V., a

Dutch company listed on Euronext Paris, including the preparation of its Annual General Meetings.

· Support compliance with applicable corporate and securities law requirements and contribute to the

development, implementation and communication of governance-related policies, procedures and

best practices, including market abuse regulation, insider trading rules, insider list management,

regulated disclosures, delegations of authority and corporate housekeeping matters.

· Contribute to the preparation of the Annual Report, corporate governance disclosures, regulated

publications and shareholder communications.

· Participate in the management of the Group corporate structure, including subsidiary governance,

corporate reorganizations, delegations of authority and Group support arrangements.

· Participate in the structuring, legal analysis, preparation and execution of strategic corporate and

capital markets transactions, including equity and debt offerings, long-term incentive plans, employee

shareholding programmes, share buyback programmes, intra-group restructuring and other Group initiatives. · Contribute to the development and dissemination of governance, compliance and legal risk management best practices across the Group through training, guidance materials, awareness initiatives and interactions with local legal teams. Financial Services matters · Provide legal support on payment services, electronic money, acquiring, distribution and card scheme matters. · Support the legal and regulatory assessment of new products, services, customer journeys, fund-flow structures and innovative business models to determine the applicable regulatory framework. · Support the legal oversight of the Group’s payment and electronic money activities, including contractual arrangements with payment service providers, banks, processors and card schemes, and the monitoring of key regulatory developments affecting the sector (PSD3, PSR, DORA, etc.). · Support financing and treasury activities, including credit facilities, commercial paper programmes, bond issuances, intra-group financing arrangements, cash pooling structures and financial guarantees. · Draft, review and negotiate related financing, treasury and banking documentation. · Support Treasury and Finance teams in the implementation and management of banking arrangements, strategic financing initiatives, treasury transformation projects and financial risk management matters.

· Master's degree in Business Law, Corporate Law, Banking & Finance Law, Financial Regulation or

equivalent. A dual academic background combining legal studies with business or finance would be

an advantage.

· At least 5 years of relevant experience gained within an international law firm, a listed company, a

financial institution, a fintech, an electronic money institution or another regulated environment.

· Strong experience in corporate and securities law, together with meaningful experience and/or

exposure to payment services, financing or treasury matters.

· Team player, with experience supporting cross-border projects and working with multiple

stakeholders.

· Digitally minded and forward-thinking, with a strong interest in innovation, legal technology and

artificial intelligence, and a willingness to contribute to the transformation of the Legal Department

and the continuous evolution of the Group's business activities.

· Practical, business-oriented mindset and ability to propose pragmatic solutions.

· Excellent analytical, drafting and communication skills.

· Excellent spoken and written English and French.

Dans le cadre du renforcement de son organisation juridique à la suite de son introduction en bourse sur Euronext Paris, Pluxee recherche un(e) Juriste Senior Corporate, Marchés Financiers & Services Financiers pour rejoindre la Direction Juridique Groupe.

Rattaché(e) au Responsable du département juridique Corporate & Marchés Financiers et travaillant en étroite collaboration avec le Responsable du département juridique Trésorerie, Finance et Services de Paiement, vous intervenez sur un large éventail de sujets liés au droit des sociétés, aux marchés financiers, aux financements, à la trésorerie ainsi qu'aux activités de paiement du Groupe.

Vous collaborez avec de nombreuses fonctions internationales, notamment Finance, Relations Investisseurs, Trésorerie, Conformité, Produits, Technologie et Opérations.

Ce poste offre une opportunité unique d'évoluer au croisement de la gouvernance d'entreprise, de la réglementation des sociétés cotées, des opérations de financement et de la réglementation des services de paiement. Vous contribuerez à sécuriser les activités et les futurs développements du Groupe dans un environnement international, innovant, dynamique et fortement réglementé.

Vos principales responsabilités

Droit des sociétés et marchés financiers

• Participer à la gestion des affaires juridiques et de la gouvernance de Pluxee N.V., société de droit néerlandais cotée sur Euronext Paris, notamment dans le cadre de la préparation des Assemblées Générales.

• Accompagner le respect des obligations applicables en matière de droit des sociétés et de réglementation des marchés financiers.

• Contribuer à l'élaboration, au déploiement et à la communication des politiques, procédures et bonnes pratiques de gouvernance du Groupe, notamment en matière :

o d'abus de marché ;

o de prévention des délits d'initiés ;

o de gestion des listes d'initiés ;

o d'information réglementée ;

o de délégations de pouvoirs ;

o de secrétariat juridique.

• Participer à la préparation du Rapport Annuel, des rapports de gouvernance, des publications réglementées et des communications destinées aux actionnaires.

• Contribuer à la gestion de la structure juridique du Groupe, notamment en matière de gouvernance des filiales, réorganisations juridiques, délégations de pouvoirs et conventions intragroupe.

• Participer à la structuration, à l'analyse juridique, à la préparation et à l'exécution d'opérations stratégiques de droit des sociétés et de marchés de capitaux, telles que :

o émissions obligataires ou actions ;

o plans d'intéressement à long terme ;

o programmes d'actionnariat salarié ;

o programmes de rachat d'actions ;

o réorganisations intragroupe ;

o autres projets stratégiques du Groupe.

• Contribuer à la diffusion des bonnes pratiques de gouvernance, de conformité et de gestion des risques juridiques au sein du Groupe à travers des actions de formation, des supports de référence et des échanges avec les équipes juridiques locales.

Finance, trésorerie et services de paiement

• Apporter un support juridique sur les activités liées aux services de paiement, à la monnaie électronique, à l'acquisition commerçants (acquiring), à la distribution et aux réseaux de cartes.

• Participer à l'analyse juridique et réglementaire de nouveaux produits, services, parcours clients, schémas de flux financiers et modèles économiques innovants afin d'identifier le cadre réglementaire applicable.

• Accompagner la supervision juridique des activités de paiement et de monnaie électronique du Groupe, notamment au travers des relations contractuelles avec les établissements financiers, prestataires de services de paiement, processeurs et réseaux de cartes.

• Assurer une veille sur les principales évolutions réglementaires affectant le secteur (PSD3, PSR, DORA, etc.).

• Accompagner les activités de financement et de trésorerie du Groupe : lignes de crédit, programmes de billets de trésorerie, émissions obligataires, financements intragroupe, cash pooling et garanties financières.

• Rédiger, analyser et négocier la documentation juridique associée aux opérations de financement, de trésorerie et bancaires.

• Accompagner les équipes Trésorerie et Finance dans la mise en place et le suivi des dispositifs bancaires, des opérations de financement stratégiques, des projets de transformation de la trésorerie et des sujets liés à la gestion des risques financiers.

Profil recherché

• Formation supérieure en droit des affaires, droit des sociétés, droit bancaire et financier, droit de la régulation financière ou équivalent.

• Une double formation juridique et financière ou économique serait un atout.

• Minimum 5 années d'expérience acquises au sein d'un cabinet d'avocats international, d'une société cotée, d'un établissement financier, d'une fintech, d'un établissement de monnaie électronique ou d'un environnement réglementé comparable.

• Solides connaissances en droit des sociétés et droit boursier, complétées par une expérience ou une exposition significative aux services de paiement, au financement ou à la trésorerie.

• Expérience du travail sur des projets internationaux impliquant de multiples parties prenantes.

• Intérêt marqué pour l'innovation, les technologies juridiques et l'intelligence artificielle.

• Approche pragmatique et orientée business, avec la capacité à proposer des solutions concrètes et adaptées aux enjeux opérationnels.

• Excellentes capacités d'analyse, de rédaction et de communication.

• Maîtrise professionnelle du français et de l'anglais, à l'écrit comme à l'oral.

• Sens élevé de l'éthique, de l'intégrité et du professionnalisme.

Votre équipe

Vous rejoindrez la Direction Juridique Groupe et serez rattaché(e) au Responsable du département juridique Corporate & Marchés Financiers. Vous travaillerez en étroite collaboration avec le Responsable du département juridique Trésorerie, Finance et Services de Paiement et participerez aux activités de l'équipe juridique Groupe au sein du Secrétariat Général.
